Important

By creating an account, starting a subscription, accepting an invitation or using the Service, you agree to these Terms and the Privacy Policy. If you act for an organization, you confirm that you can bind it to this agreement.

1. Agreement and contracting party

These Terms of Service (“Terms”) form a binding agreement between you and MyNavyo concerning mynavyo.com, the MyNavyo financial workspace and related services (collectively, the “Service”). “MyNavyo” means the entity identified as the service provider on your checkout receipt, invoice or written order; if none is identified, it means the operator of mynavyo.com.

You must be at least 18 years old and legally capable of entering a contract. The Service is offered for legitimate business and professional use. If your organization has a separate signed agreement with MyNavyo, that agreement controls to the extent of an express conflict.

2. Accounts, roles and authority

  • Provide accurate, current registration and billing information and keep it updated.
  • Protect passwords, recovery methods and authentication devices; use two-factor authentication when appropriate.
  • Do not share an individual account. Create or invite separate users and assign only the access they need.
  • Promptly notify us of suspected unauthorized access, compromised credentials or incorrect permissions.

The account owner or organization administrator controls workspace access and is responsible for authorized users, roles, invitations and actions taken through those accounts. Accounting firms must have their client’s authorization before accessing or processing client information.

3. The Service and permitted use

MyNavyo provides tools for financial organization, invoicing, receivables, payables, bank-data visibility, receipt extraction, tax planning, reporting, evidence management, subscription administration and decision support. Features may vary by plan, account type, province, configuration and availability.

Subject to these Terms and payment of applicable fees, MyNavyo grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for your internal business purposes during the subscription term. You may not resell, sublicense or provide the Service as a service bureau unless MyNavyo agrees in writing.

Changes and beta features

We may improve, add, replace or discontinue features. We will provide reasonable notice when a material change significantly reduces core paid functionality, unless an urgent security, legal or third-party issue requires faster action. Preview, beta, demo or early-access features may be incomplete, changed or withdrawn and should not be used as the sole basis for critical decisions.

4. Not accounting, tax, legal or investment advice

MyNavyo provides software, calculations, organizational tools and general decision support. Unless a separate written professional-services agreement expressly states otherwise, MyNavyo is not your accountant, CPA, bookkeeper, auditor, tax preparer, lawyer, fiduciary, broker, investment adviser or government filing agent.

Tax rates, deadlines, classifications, forecasts, matches, reports and AI outputs may depend on assumptions, manually entered information and third-party data. You must review outputs, reconcile records, preserve supporting documents and confirm filings, remittances and material decisions with qualified professionals and official sources. The Service does not file returns or move money unless a future feature clearly says so and you separately authorize it.

5. Your data, permissions and connected accounts

Ownership

As between you and MyNavyo, you retain your rights in the information, documents and records you submit, import or connect (“Customer Data”). You grant MyNavyo a limited right to host, copy, transmit, process, display and create technical derivatives of Customer Data only as needed to provide, secure, support and improve the Service, comply with law and enforce these Terms.

Your responsibilities

You represent that you have the rights, authority, notices and consents required to provide Customer Data and instruct MyNavyo to process it. You are responsible for the accuracy, legality and quality of Customer Data, for maintaining source records and independent backups, and for responding to individuals whose information you control.

Bank connections

You may connect only financial accounts that you are authorized to access. Bank data is retrieved through the configured connectivity provider and may be delayed, incomplete, duplicated or unavailable. Displayed balances and transactions do not replace an institution’s official records. You can disconnect a connection, but previously imported records may remain until deleted under the applicable retention process.

Our handling of personal information is described in the Privacy Policy.

6. AI-assisted features

AI features may use a configured local model or an external provider and may generate inaccurate, incomplete, outdated or unsuitable content. Outputs are suggestions—not verified professional conclusions. You must use independent judgment, review cited source records and obtain professional advice where appropriate.

You may not use AI outputs to make unlawful, discriminatory or fully automated decisions about a person’s eligibility, employment, credit, insurance or other significant rights. Do not submit unnecessary sensitive information in a prompt. MyNavyo does not grant ownership of third-party material that may appear in an output and does not guarantee that output is unique or non-infringing.

7. Subscriptions, trials, renewals and cancellation

Prices and taxes

The plan, billing interval, currency, price, included features and any trial or promotion are shown at checkout. Applicable sales taxes may be added. Promotional terms apply only as stated and may not be combined unless expressly permitted.

Free trials

If checkout offers a free trial, you authorize the payment provider to store the selected payment method. Unless you cancel before the trial ends, the paid subscription begins automatically and the payment method is charged the amount and cadence disclosed at checkout. Eligibility may be limited to one trial per customer, organization or payment method.

Automatic renewal

Monthly and annual subscriptions automatically renew for successive periods until cancelled. You authorize recurring charges, including applicable taxes, using the payment method on file. We may change future subscription prices by giving reasonable advance notice; the change applies no earlier than the next renewal after the notice period.

Cancellation and refunds

You may cancel through the available billing portal or by contacting us. A trial cancellation made before the displayed trial deadline prevents the first paid renewal. A paid subscription cancellation normally takes effect at the end of the current paid period, and access continues until then unless the account is suspended for cause. Fees already paid are non-refundable and partial periods are not credited, except where required by law or expressly stated in writing. If you believe a charge is incorrect, contact us promptly so it can be investigated.

Failed payments

If payment fails or becomes overdue, we may retry the charge, request an updated payment method, limit paid functionality or suspend access after reasonable notice. You remain responsible for authorized outstanding charges.

8. Acceptable use

You must not, and must not help anyone else to:

  • use the Service unlawfully, fraudulently or to violate another person’s privacy, confidentiality or intellectual-property rights;
  • access data, accounts or systems without authorization or bypass authentication, subscription, usage or security controls;
  • upload malware, harmful code or content intended to disrupt, damage, overload or probe the Service;
  • scrape, crawl, reverse engineer, decompile or attempt to discover source code except to the limited extent a law does not permit this restriction;
  • use the Service to send spam, deceptive communications or content that is defamatory, abusive or illegal;
  • conduct unauthorized security testing or use automated activity that unreasonably burdens the Service.

We may investigate suspected violations and cooperate with lawful requests. Whenever reasonably possible, we will use proportionate measures and notify the account owner.

9. Third-party services and availability

The Service may interoperate with providers such as Stripe, Plaid, Postmark, Veryfi, financial institutions, hosting providers and an AI provider. Your use of a third-party service may also be governed by that provider’s terms and privacy policy. MyNavyo is not responsible for a third party’s independent service, decisions, outages or changes, but we remain responsible for our own obligations concerning providers we engage.

We work to keep the Service available and secure, but do not promise uninterrupted or error-free operation. Maintenance, internet conditions, attacks, provider outages, banking delays and events beyond reasonable control may affect availability. Keep independent copies of records needed for legal, tax, payroll, banking or business-continuity purposes.

10. Suspension, termination and data export

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for material breach, unlawful or harmful activity, security risk, non-payment or where required by law. Except for urgent security or legal situations, we will normally give notice and a reasonable opportunity to cure a remediable breach.

Before account closure, use available export tools to preserve needed records. Following termination, access ends and Customer Data may be deleted according to the Privacy Policy and applicable retention requirements. We may retain limited records needed for security, billing, disputes and legal compliance. Sections that by their nature should continue—including ownership, payment obligations, disclaimers, liability limits, indemnity and general terms—survive termination.

11. Warranties, liability and indemnity

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MYNAVYO DISCLAIMS IMPLIED WARRANTIES AND CONDITIONS, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND THAT THE SERVICE OR OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY ACCURATE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYNAVYO AND ITS AFFILIATES, PERSONNEL AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SAVINGS, GOODWILL, DATA OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE. MYNAVYO’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not apply to fraud, wilful misconduct, gross negligence or liability that applicable law does not allow to be limited.

Indemnity

To the extent permitted by law, you will defend and indemnify MyNavyo against third-party claims, losses and reasonable costs arising from Customer Data, your unlawful or unauthorized use of the Service, your violation of these Terms or your infringement of another person’s rights. This obligation does not apply to the extent a claim was caused by MyNavyo’s own breach, gross negligence or wilful misconduct. We will provide reasonable notice and allow you to participate in the defence, while retaining the right to approve any settlement that imposes obligations on MyNavyo.

12. General legal terms

Governing law and disputes

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Québec will have exclusive jurisdiction over disputes, except where applicable law requires another forum or grants a non-waivable right. Before starting formal proceedings, the parties will make a reasonable good-faith effort to resolve the dispute by contacting each other.

Changes to these Terms

We may update these Terms to reflect changes in the Service, law, security or business practices. The updated Terms will be posted with a new effective date. We will provide reasonable advance notice of material changes when required. Continued use after the effective date constitutes acceptance, but if you do not agree you may stop using the Service and cancel before the change takes effect.

Other provisions

Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing or transfer of the Service. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. These Terms, the Privacy Policy, checkout disclosures and any applicable written order are the entire agreement concerning the Service. Headings are for convenience only.

The English and French versions are intended to have equivalent meaning. Electronic notices may be delivered to the account email address or displayed in the Service, and you agree to keep that address current.
